Contractual Relationship

These Terms and Conditions (“Terms”) govern your access to and use of the services provided by Projectix, LLC, a Michigan limited liability company (“Projectix,” “we,” “our,” or “us”). Projectix provides business consulting and AI-powered marketing campaign services within the United States (the “Services”).

By using or accessing our Services, you agree to be bound by these Terms. If you are using our Services on behalf of a company or other entity, you represent that you are authorized to accept these Terms on behalf of that entity.

If you do not agree to these Terms, you may not use the Services.

Changes to Terms

Projectix reserves the right to update these Terms at any time. Any changes will be effective when posted on our website. Continued use of the Services after changes are posted constitutes your acceptance of the updated Terms.

Services Provided

Projectix offers:

• AI-driven marketing campaigns (including content generation, digital advertising support, analytics, and campaign optimization).

• Project management consulting services (including project planning, execution, monitoring, and reporting).

• Use of proprietary software services (including website portal available to manage campaigns, view statistic data, make online payments for using the service)
   

We may add, modify, or discontinue Services at any time without prior notice.

Access and Accounts

To access certain Services, you may be required to create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and all activities under your account.

You must be at least 18 years of age to use our Services.

Acceptable Use

You agree not to:

• Misuse our Services for unlawful purposes.
   

• Copy, distribute, or resell our Services or deliverables without written consent.
   

• Attempt to reverse engineer or interfere with the functionality of our AI systems.
   

• Use the Services to create or distribute harmful, offensive, or misleading content.
   

Violation of this section may result in suspension or termination of your account.

Intellectual Property

All content, materials, methodologies, and technologies provided by Projectix are protected by intellectual property laws. Projectix retains all rights to the Services, including software, trademarks, designs, and reports generated through our AI systems.

You may use deliverables provided by Projectix only for your internal business purposes, unless otherwise agreed in writing.

Fees and Payments

You agree to pay all fees associated with the Services as outlined in your invoice, order form, or written agreement with Projectix.

• Payments are due in U.S. dollars and must be made in accordance with the billing terms provided.
   

• Late payments may incur finance charges and could result in suspension of Services.
   

• Subscription-based Services are billed in advance and are non-refundable unless contractual agreement says differently.
   

Third-Party Services

Projectix may integrate with or rely on third-party tools or service providers. We are not responsible for the performance, availability, or content of third-party services. Your use of third-party services may be subject to their own terms and privacy policies.

Confidentiality and Data Use

Projectix may collect and process business information you provide to deliver Services. We agree to use commercially reasonable efforts to protect such information and will not disclose it to unauthorized third parties except as required by law.

By using our AI-driven tools, you grant Projectix a non-exclusive right to process input data for the purpose of providing Services, improving system performance, and ensuring compliance with applicable laws.

Disclaimers

• Services are provided “as is” and “as available.”
   

• Projectix makes no guarantees regarding the accuracy, completeness, or outcomes of AI-generated deliverables.
   

• You are responsible for reviewing all materials before using them in business or public communications.
   

Limitation of Liability

To the fullest extent permitted by law:

• Projectix shall not be liable for indirect, incidental, or consequential damages.
   

• Our total liability for any claim related to the Services shall not exceed the amount you paid to Projectix for the Services in the three (3) months preceding the claim.
   

Indemnification

You agree to indemnify and hold harmless Projectix, its officers, employees, and affiliates from any claims, losses, liabilities, and expenses (including legal fees) arising from:

• Your use or misuse of the Services,
   

• Your breach of these Terms, or
   

• Your violation of applicable law or third-party rights.
   

Termination

Projectix may suspend or terminate your access to the Services at any time for violation of these Terms, non-payment, or misuse. Upon termination, your right to use the Services ceases immediately.

Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Michigan, without regard to its conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Michigan, and you consent to the jurisdiction of such courts.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in effect.

Entire Agreement

These Terms constitute the entire agreement between you and Projectix regarding the Services and supersede all prior agreements, written or oral.
